Chapter 2 — Accounts and Eligibility

Article 4 — Account Registration

When using certain features of the Service, you may be required to register an account and provide true, complete, accurate, and up-to-date information. You agree to keep such information updated at all times to ensure its accuracy and completeness.

Article 5 — Account Security

By registering for, logging in to, or continuing to use the Service, you represent and warrant that you have obtained the foregoing consent. If the Platform reasonably suspects that you have not obtained the necessary consent, the Platform has the right to restrict, suspend, or terminate your account or your use of certain features.

In addition, the Service is not directed at children under the age of 13. If the year of birth you provide at registration indicates that you are under 13 years of age, the Platform may reject your registration application.

Chapter 3 — User Content and License

Article 8 — User Content

Text, images, visual media, prompts, poll questions, replies, comments, personal data, account information, and other content that you upload, publish, input, create, submit, transmit, share, or otherwise provide on the Service are collectively referred to as "User Content."

Article 9 — Retention of User Rights

Except as otherwise provided in these Terms, you, as a general rule, retain the rights you are entitled to under law in the User Content you lawfully provide.

Article 10 — License Granted to the Platform

To enable the Platform to provide, maintain, optimize, promote, and operate the Service, you agree to grant the Platform a worldwide, non-exclusive, transferable, sublicensable, royalty-free license that permits the Platform, to the extent necessary for the purposes of the Service, to collect, store, reproduce, adapt, analyze, process, publicly transmit, display, distribute, compile, annotate, translate, and convert the format of your User Content, and to make other uses of it that are necessary in accordance with law.

The license under the preceding paragraph includes, but is not limited to, the following purposes:

  1. Displaying or transmitting your content on the Service.
  2. Content recommendation, ranking, search, indexing, and display.
  3. Content moderation, safety checks, determination of violations, and anti-abuse processing.
  4. Producing statistical data, trend analyses, business insights, and product optimization outcomes.
  5. Use as input for AI features, or for the processing, training, optimization, testing, evaluation, or safety review of AI features.
  6. Use for the Platform's marketing, showcasing, promotional, research, or partnership purposes; provided, however, that this does not apply where separate consent is required by law.

Article 11 — Responsibility for Content

You shall warrant that the User Content you provide does not infringe any third party's copyright, trademark rights, privacy rights, portrait rights, rights of reputation, trade secrets, or other rights, and does not violate any law or contractual obligation. If the Platform or any third party suffers damage as a result, you shall bear full responsibility.

Chapter 4 — Voting Data, Recommendation Mechanisms, and Commercial Use

Article 12 — Collection of Voting and Interaction Data

When you use the Service, the Platform may collect and record your votes, browsing activity, dwell time, interaction behavior, click records, topics you participate in, preference tendencies, interest tags, device information, age range, gender, the region where you are located, and other information related to your use of the Service.

Article 13 — Recommendations, Ranking, and User Segmentation

The Platform may, based on the foregoing data, perform automated analysis, user segmentation, preference modeling, content ranking, adjustment of recommendation mechanisms, trend analysis, and product optimization. You understand and agree that the content rankings, popular results, recommended content, trend displays, and related data provided by the Service may vary depending on the user, region, device, interaction history, time, commercial conditions, test design, or other factors.

Article 14 — Commercial Use of Voting Data

You agree that the Platform may use users' voting, interaction, and preference data to produce compiled, statistical, aggregated, de-identified, or anonymized analytical results, trend reports, audience insights, research data, market analyses, or other commercial outputs, and may use such analytical results itself or provide them to business clients, advertisers, partners, research institutions, or other third parties for their use. Anything provided to third parties under this Article is limited to such processed analytical results and does not include raw voting data that directly identifies individual users.

Article 15 — Scope of Data Shared with Third Parties

You understand and agree that the Platform may provide third parties with certain information related to you, including but not limited to your age or age range, gender, the country, city, and region where you are located, geographic location range, language, device information, interest categories, voting preferences, interaction characteristics, content engagement patterns, audience tags, segmentation results, and other analytical data.

As a general rule, the foregoing data does not include directly identifying information such as your real name, telephone number, or government-issued identification document number; provided, however, that this does not apply where required by law, ordered by a competent authority, required in judicial proceedings, necessary for the performance of a contract, necessary for transaction processing, or where you have separately consented.

Article 16 — Sale and Sharing of Data, and Opt-Out

If, under the laws applicable in your jurisdiction, the Platform's foregoing provision of data, sharing, audience modeling, advertising analytics, cross-service tracking, or commercial partnership arrangements are deemed to constitute a "sale," "sharing," or any other processing activity for which a right to opt out must be provided, you may exercise your right to opt out, your right to object, or your right to request restriction of processing through the settings page, request mechanism, or contact methods provided by the Platform. The Platform will handle such requests in accordance with applicable law and reasonable verification procedures.

Chapter 5 — AI Feature Terms

Article 17 — Description of AI Features

The Platform may provide artificial intelligence-related features, including but not limited to image generation, text generation, content rewriting, visual transformation, material assistance, recommendations, and other generative model services.

Article 18 — Use of AI Inputs and Outputs

The text, instructions, prompts, uploaded materials, and reference content you input when using AI features, as well as the outputs you obtain, may all be processed, analyzed, stored, tested, optimized, used for training and fine-tuning, reviewed, and used to improve model or service performance by the Platform or by model providers with which the Platform partners.

By using the Service, you agree that the Platform may use AI inputs and outputs for model training, quality improvement, safety monitoring, and commercial optimization purposes.

Article 19 — Restrictions on AI Content

You shall not use the AI features to:

  1. Generate content that is illegal, infringing, defamatory, fraudulent, harassing, hateful, violent, pornographic, unsuitable for children and youth, or otherwise inappropriate.
  2. Impersonate real persons, organizations, brands, or government agencies, or create misleading or forged content.
  3. Generate content for use in scams, deepfakes, disinformation, invasions of privacy, circumvention of safety mechanisms, or other abusive purposes.
  4. Input materials you have no right to use, protected content, or the personal data of third parties.

Article 20 — Disclaimer Regarding AI Outputs

AI-generated content may be inaccurate, incomplete, or non-neutral, may be similar to outputs generated for others, and may also involve rights-related, ethical, commercial, or regulatory risks. The Platform does not guarantee the accuracy, uniqueness, legality, or usability of AI outputs, or that they do not infringe the rights of third parties. You shall exercise your own judgment and bear the risks and responsibilities associated with your use of AI outputs.

Article 21 — Review of AI Content

The Platform may conduct automated or human review of AI inputs, outputs, and their use, and may, as necessary, restrict, refuse, delete, take down, label, block, or retain the related content and records.

In accordance with its platform policies and the requirements of the relevant platforms (such as the Apple App Store and Google Play), the Platform is responsible for the safety of AI-generated content. The Platform has established and maintains reporting, blocking, moderation, and safety restriction mechanisms, and may continually supplement and revise them to comply with laws, regulations, and platform rules.

Chapter 6 — Prohibited Conduct

Article 22 — Prohibited Activities

You shall not engage in any of the following conduct:

  1. Violating the law, public order, or good morals.
  2. Infringing the rights of the Platform or any third party.
  3. Spreading false information, or maliciously manipulating public opinion or voting results.
  4. Accessing the Service by means of cheat programs or add-ons, crawlers, scripts, emulators, bots, automation tools, or other unauthorized means.
  5. Reverse engineering, cracking, interfering with, testing for vulnerabilities in, attacking, or implanting malicious programs into the system, or endangering system security.
  6. Spamming junk content, advertisements, scam messages, or harassing content.
  7. Collecting, tracking, identifying, or disclosing the personal data of others.
  8. Circumventing the Platform's restrictions, moderation, blocks, regional restrictions, or business rules.
  9. Copying, selling, renting out, sublicensing, or commercially exploiting the Service or its data without authorization.

Article 23 — Enforcement Measures

If you violate these Terms, or if there is a risk that you may endanger the Platform, users, third parties, or regulatory compliance, the Platform may, without prior notice, directly take any or all of the following measures:

  1. Deleting, hiding, restricting, or labeling content.
  2. Restricting features, traffic, or recommendation exposure.
  3. Suspending, freezing, or terminating accounts.
  4. Refusing to provide the Service.
  5. Preserving evidence and providing necessary information to competent authorities or judicial authorities.

Article 24 — Zero-Tolerance Policy for Inappropriate Content

The Platform maintains a zero-tolerance policy toward inappropriate user-generated content and abusive user behavior, and, in accordance with Apple App Store Review Guideline 1.2 (Safety — User-Generated Content) and the Google Play Developer Policies, maintains the following mechanisms:

  1. Pre-publication content filtering: Automated filtering is applied to text content submitted by users (including poll questions, options, comments, messages, and personal profile information), including but not limited to banned-word lists, sensitive-term classification, and machine moderation.
  2. Reporting mechanism: Users may report any content or the user who posted it via the action menu next to any user-generated content (polls, comments, messages, profile pages, groups).
  3. Blocking mechanism: Users may proactively block abusive accounts. Once an account is blocked, its content, messages, follows, and interactions will be hidden from the blocking user's screen.
  4. Muting mechanism: Users may mute notifications for specific conversations, posts, or accounts, without affecting their posting permissions.
  5. Commitment to act within 24 hours: After receiving a report, the Platform will review it within 24 hours and, depending on the severity of the circumstances, take measures such as deletion, restriction, suspension, or account termination, in order to remove the violating content and the offending user.
  6. Contact channels: Users may contact the Platform via support@babla.ai or in the app under "Settings → Help & Legal → Report a Problem," and the Platform will respond within a reasonable period.

The following categories of content constitute inappropriate content that the Platform expressly does not tolerate. Once such content is discovered by users, it may be taken down immediately, and the poster's account will be suspended or permanently terminated depending on the circumstances of the violation:

  1. Speech or material that is clearly offensive, harassing, bullying, discriminatory, hateful, threatening, or intimidating.
  2. Content that is pornographic, violent, gory, or abusive, or that involves self-harm or promotes self-harm.
  3. Content involving child pornography, exploitation, or the improper exposure of minors.
  4. Content that infringes the intellectual property rights, privacy rights, portrait rights, or rights of reputation of others.
  5. Content that violates local laws, including but not limited to content relating to drugs, weapons, gambling, fraud, and illegal transactions.
  6. Content that impersonates others, fabricates identities, constitutes a deepfake, or manipulates public opinion.
  7. Deliberately spread disinformation, information harmful to health, or scam content.

The Platform reserves the right, in accordance with these Terms and related policies, to directly delete the foregoing content and suspend the accounts of violating users. Suspended accounts may appeal to the Platform with respect to the specific circumstances; however, the Platform retains the right of final decision.

Chapter 7 — Intellectual Property Rights

Article 25 — Platform Rights

The code, interface design, algorithms, databases, trademarks, names, logos, copy, visual assets, business model, and other content of the Service, except for those that belong to third parties by law, are owned by the Platform or its licensors and are protected by intellectual property laws and related laws.

Article 26 — Restrictions on Use

Without the Platform's prior written consent, you shall not reproduce, adapt, distribute, publicly transmit, publicly display, disassemble, reverse engineer, sell, or otherwise exploit the foregoing content of the Platform.

Chapter 8 — Third-Party Services

Article 27 — Third-Party Services and Providers

The Platform may integrate third-party services, including but not limited to cloud storage, analytics tools, push notification services, login authentication, payment tools, advertising platforms, content moderation services, AI model providers, and other partner tools.

Such third-party services may process relevant data in accordance with their own terms and privacy policies. The Platform does not guarantee the continued availability, accuracy, or security of third-party services.

For a list of the third-party service providers currently integrated with the Platform, please see the Appendix.

Article 28 — Reservation of Disclosure Fields

Because the third-party providers, SDKs, analytics tools, AI models, and partners actually integrated with the Platform may change at any time, the Platform may, without affecting the overall validity of these Terms, reserve, supplement, update, replace, or delete the relevant disclosure fields and lists.

Chapter 9 — Paid Services

Article 29 — Paid Features

The Platform may in the future offer paid features, subscription services, enterprise plans, business reports, advertising plans, APIs, or other fee-based items. The applicable prices, payment methods, renewal, cancellation, refund, and tax provisions shall be as set forth in the relevant page, order, supplemental terms, or commercial contract in effect at that time.

Chapter 10 — Disclaimers and Limitation of Liability

Article 30 — Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. The Platform does not guarantee that the Service will be continuous and uninterrupted, error-free, free of delay, risk-free, or completely secure, or that it will meet your specific needs.

Article 31 — Disclaimer Regarding Content and Results

The Platform makes no express or implied warranties regarding the accuracy, completeness, timeliness, legality, or fitness for a particular purpose of any User Content, voting results, trend analyses, recommendation rankings, statistical data, AI outputs, third-party information, or commercial outputs.

Article 32 — Limitation of Liability

To the maximum extent permitted by law, the Platform shall not be liable for any indirect, incidental, derivative, special, punitive, or consequential damages arising from your use of or inability to use the Service, including but not limited to loss of data, loss of profits, damage to goodwill, business interruption, loss of anticipated benefits, or substitution costs.

Where liability cannot be fully excluded by law, the Platform's total liability shall be limited to the amount you actually paid to the Platform during the twelve months before the relevant dispute arose; if you have not paid any fees, the limit shall be 1,000 New Taiwan Dollars (NTD).

Chapter 11 — Account Deletion, Termination, and Data Handling

Article 33 — Account Deletion by Users

You may request deletion of your account in the babla app via the path "Settings → Data privacy → Delete account," or by using the contact methods listed in Chapter 15. The Platform will process your request in accordance with applicable law, technical feasibility, and reasonable verification procedures.

After your account is deleted, the Platform will retain your account data in a soft-deleted state during a 30-day grace period (during which you may still contact customer support to restore it); after the grace period expires, the Platform will permanently delete the account and its associated votes, comments, saved items, follows, and other data. Where the law requires the retention of certain data, or where necessary to handle transaction disputes, prevent fraud, or fulfill legal obligations, the Platform may retain the necessary data until the expiration of the statutory period or a reasonable period.

Article 34 — Revocation of Third-Party Login Credentials

If you registered for or logged in to babla using a third-party identity service such as "Sign in with Apple" or "Sign in with Google," then when you delete your babla account, the Platform will terminate the link between babla and your account with that identity service, and will cease its use of that identity information.

However, because the credentials of such third-party identity services (for example, the app authorization associated with your Apple ID) remain stored with the relevant service provider, you must separately revoke babla's authorization on that service's settings page; the Platform cannot do this on your behalf:

  1. How to revoke Apple Sign-In: iPhone "Settings" app → tap your Apple ID → "Sign in with Apple" → find "babla" → tap "Stop Using Apple ID." After revocation, Apple will clear the identity credentials associated with that app.
  2. How to revoke Google Sign-In: Open https://myaccount.google.com/permissions in a browser → find "babla" → "Remove access."

The Platform has, in good faith, informed you of the foregoing paths. If you do not revoke a third party's authorization, that third party may still retain records of the relevant connection, and the Platform is not responsible for this.

Article 35 — The Platform's Right of Termination

The Platform may, at any time, terminate all or any part of the Service, or terminate your account and your access rights, due to violations, legal requirements, business considerations, risk control, product adjustments, termination of transactions, technical maintenance, or other reasonable causes.

Article 36 — Effect After Termination

After the termination or deletion of an account, provisions relating to licenses, intellectual property, disclaimers, limitation of liability, dispute resolution, legal compliance, and other provisions that by their nature should remain in effect shall continue in effect.

Chapter 12 — Privacy Policy

Article 37 — Types of Data We Collect

  6. To provide business clients, advertisers, or partners with anonymized, aggregated, de-identified, or other data outputs that may be provided in accordance with law.
  7. For customer service, complaints, dispute handling, notifications, legal compliance, tax, accounting, or other lawful operational needs.
  8. For other purposes to which you have consented or that are permitted by law.

Article 40 — Data Sharing, Disclosure, and Business Partnerships

The Platform may provide, disclose, share, or grant access to your data to the following parties:

  1. Service providers for cloud storage, analytics, push notifications, authentication, payments, AI models, content moderation, technical operations, information security, customer service, and the like (see the Appendix for details).

  3. Judicial, administrative, regulatory, law enforcement, or other government authorities that are legally entitled to request data.
  4. Potential or actual counterparties in the event of a corporate merger, acquisition, asset transfer, financing, reorganization, equity transaction, or similar circumstances.

If the Platform is required under applicable law to provide an opt-out mechanism for the sale or sharing of data or for advertising-related data processing, the Platform will provide corresponding means of exercising such rights as required by law.

Article 41 — Data Not Directly Provided

Except where required by law, where your explicit consent has been obtained, where necessary for the performance of a contract, or on other lawful grounds, the Platform, as a general rule, does not directly provide third parties with directly identifying information such as your real name, telephone number, or government-issued identification document number for general business insight purposes.

Article 42 — AI Training and Model Optimization

You agree that the Platform may use the inputs, outputs, uploaded materials, generated content, and related records from your use of AI features for model training, fine-tuning, evaluation, improvement, safety control, performance optimization, quality testing, and related commercial purposes.

If the Platform engages a third-party model provider to provide the foregoing services, you agree that the relevant data may be processed by that third party on the Platform's behalf, in accordance with its role and contractual arrangements.

Article 43 — Personalized Recommendations and Automated Analysis

The Platform may use automated tools, algorithms, models, and other technologies to rank, tag, group, predict, recommend, and otherwise analyze your data. Such processing may affect the content, advertisements, trends, suggestions, and interaction ranking results that you see.

Article 44 — Protection of Minors' Data

If the Platform discovers that a user is a minor and has not obtained the necessary guardian consent as required by law, the Platform may restrict or terminate that user's account or certain features.

Depending on the nature of the product and regulatory requirements, the Platform may adopt additional measures such as age notices, parental consent, restrictions on sensitive features, or other protective measures. The Service does not intentionally collect personal data of children under the age of 13; if the Platform discovers that such data has been provided by a child under the age of 13, the Platform will delete it within a reasonable period.

Article 45 — Data Retention Period

The Platform will retain your data for the period necessary to achieve the purposes set forth in these Terms, and may extend retention in accordance with the following principles:

  1. To comply with legal, accounting, tax, audit, or administrative requirements.
  2. To handle transactions, disputes, reports, complaints, or legal proceedings.
  3. To maintain information security and to prevent fraud, abuse, or circumvention of the Platform's rules.
  4. To retain anonymized, aggregated, or de-identified statistical data for research, analytical, or commercial purposes.

When you delete your account or content on your own initiative, the Platform applies a soft-deletion mechanism with a 30-day grace period, after which the corresponding records will be permanently deleted; however, the necessary data may be retained in the exceptional circumstances described above.

Article 46 — Data Security

Article 47 — Cross-Border Transfers

You agree that the Platform and its providers, partners, or affiliates may, for reasons of server configuration, technical operations, analytical processing, model services, or business arrangements, transfer, store, or process your data in countries or regions outside your location (including but not limited to the United States, Singapore, and Japan). The Platform will take reasonable protective measures in accordance with applicable law.

Article 48 — Your Rights

Depending on the laws applicable in your jurisdiction, you may have some or all of the following rights:

  1. To inquire about or request to review your personal data.
  2. To request a copy.

Chapter 13 — Amendments to These Terms

Article 51 — Updates to These Terms

The Platform may amend these Terms at any time. The amended version will be posted on the Platform, in the app, on the website, or in another appropriate location, with the date of update indicated.

In the case of material changes, the Platform may notify you by in-app notification, email, pop-up prompt, a request to check the consent box again, or other reasonable means. If you continue to use the Service after an amendment, you will be deemed to have agreed to the amended content; provided, however, that where renewed consent is required by law, the matter will be handled in accordance with the law.

Chapter 14 — Governing Law and Dispute Resolution
